Supervisory Board concerning the Audit Committee

The Supervisory Board of Grupa Azoty Zakłady Chemiczne Police S.A. (the “Company”)

represents that to the best of its knowledge:

a) the laws and regulations governing the appointment, composition, and operation of the

audit committee, including those concerning the fulfilment by audit committee

members of independence criteria and the requirements relating to knowledge and skills

relevant for the industry in which the Company operates as well as those relating to

knowledge and skills in accounting or audit of financial statements were complied with

at the Company,

b) the Audit Committee appointed at the Company performed the audit committee tasks

provided for in applicable regulations.
